These terms of service (“Terms of Service”) are entered into between you and Daley Consulting LLC. (“Daley Consulting,” “we,” "Website", "System", "Platform "or “us”). The Terms of Service govern your access to and use of the Daley Consulting website at www.daleyconsulting.com, including any content, functionality, communication channels, software, and Services offered on or through it (the “Platform”).

Eligibility, Registration and Maintenance
The Website and Platform Services are not targeted towards, nor intended for use by, anyone under the age of 18. By using the Website and Platform Services, represent the fact that you are 18 years of age or older, you also agree to accept all terms and conditions written in here. You must not use this System if you disagree with any of these Website Standard Terms and Conditions.

To access portions of the Platform or to register for or use the Services, you will be asked to provide registration details or other Information. If you are found to be in violation of our terms of service we reserve the right to deactivate, terminate, prevent access to disable services for, and /or delete your account.

In these Platform Terms and Conditions, “Your Content” shall mean any audio, video text, images or other material you choose to display on this Platform. By displaying Your Content, you grant Daley Consulting, LLC a non-exclusive, worldwide irrevocable, sub-licensable license to use, reproduce, adapt, publish, translate and distribute it in any and all media.

Your Content must be your own and must not be invading any third-party’s rights. Daley Consulting reserves the right to remove any of Your Content from this Website at any time without notice.

This Platform may include content provided by third parties. All statements and opinions expressed by third parties are solely the opinions and the responsibility of the person or entity providing those materials. Those materials do not necessarily reflect the opinion of Daley Consulting. Daley Consulting is not responsible for the content or accuracy of any materials provided by any third parties. These Third Party Services may have their own terms and policies, and your use of them will be governed by those terms and policies.

Intellectual Property Rights

Other than the content you own, under these Terms and Conditions, Daley Consulting and/or its licensors own all the intellectual property rights and materials contained in this Website Platform (including but not limited to text, graphics, videos, logos, button icons, databases, music, sounds, images, or other material that can be viewed on the Platform) .

Services

Daley Consulting provides a website with a multitude of services which you may subscribe to through the Platform. The terms in these Terms of Service govern to the extent there is a direct conflict between the additional terms linked below and these Terms of Service:

Features and terms used in connection with the Platform and Services may have some resemblance to those provided by others, but our Platform features and terms are specific to our Platform.

 If you choose to purchase one or more of the Services provided on the Platform, you agree to pay all fees (“Fees”) associated with the Services. Any charges incurred by your purchase or use of the Services will be billed to the credit card we have on file.

Our monthly subscription provides tiered pricing for different levels of Services and products based on the Services you choose to use.

Service fees are applicable upon signing for the paid services, and the payment for the applicable fee is in advance of your subscription period according to the Agreement.
Our monthly or annual subscription provides tiered pricing for different levels of Services and products based on the Services you choose to use. In addition to our subscription Services, you may purchase add-in Services for a one-time Fee or recurring subscription Fees.

Fees may change from time to time.
You can upgrade or downgrade at any time. If upgrading, you will be charged the difference between the two subscription plans for the extra services.

Downgrade refunds are applicable only for yearly subscriptions, up to 14 days after the subscription is made. There are NO refunds for monthly downgrades.

Refunds are NOT applicable for “Combo Deals” or “Exclusive Deals” (Custom design and development).

Daley Consulting does not provide Fee refunds or credits for partially used or unused subscriptions. If you sign up for a Service subscription but do not access the Service or Platform, you are still responsible for all Fees during the term of your subscription.

Daley Consulting shall use reasonable efforts consistent with prevailing industry standards to maintain the Services in a manner which minimizes errors and interruptions in the Services and shall perform the Implementation Services in a professional and workmanlike manner.
THE PLATFORM AND THE SERVICES OFFERED THROUGH IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR THE WARRANTY OF NON-INFRINGEMENT.

You hereby indemnify to the fullest extent Daley Consulting, LLC any of its officers, directors, employees and affiliates from and against any and/or all liabilities, costs, demands, causes of action, damages and expenses arising in any way related to your breach of any of the provisions of these Terms.

In no event shall Daley Consulting, LLC, nor any of its officers, directors, employees and affiliates shall be held liable for anything arising out of or in any way connected with your use of this Platform and Services whether such liability is under contract. Daley Consulting, LLC , including its officers, directors, and employees shall not be held liable for any indirect, consequential or special liability arising out of or in any way related to your use of this Website and Services.

If any provision of these Terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.

Daley Consulting, LLC is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification. However, you are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

These Terms constitute the entire agreement between Daley Consulting, LLC and you in relation to your use of this Website and supersede all prior agreements and understandings.

These Terms will be governed by and interpreted in accordance with the laws of the State of Georgia, and you submit to the non-exclusive jurisdiction of the state and federal courts located in Georgia for the resolution of any disputes.
